Job responsibilities
Support interstate pipeline and storage business commercial activities: negotiate confidentiality agreements, precedent agreements with prospective shippers, interconnect and reimbursement agreements for facilities upgrades, purchase and sale agreements for asset acquisitions or dispositions
Support various operational activities of interstate pipeline and storage business, including
Advice and document review regarding acquisition and modification of, and disputes concerning, right of way
Advice with respect to filing and defending of warranty and indemnity claims
Counsel in connection with incident response, emergencies
Assistance with responses to government agency inquiries or proceedings, including PHMSA, BOEMRE and various environmental agencies
Contract review and negotiation to support project-related and other procurement activities, not limited to interstate pipeline and storage business units, including
Prime contractor
Subcontractor
Purchase order review
Master POA?s
Equipment purchase
Air and Gas agreements
Indemnity agreements (on site vendors, local distributor deliveries, etc.)
Valve purchase
Trucking and hauling Agreements
Offshore
Down hole
Custom Agreements
Assist with corporate governance and general legal support of storage partnership
Provide support, in coordination with dedicated litigation counsel, on certain litigation matters arising in the interstate pipeline and storage business, including
Right of Way
Construction
Personal injury
Breach of contract
Environmental claims, including historical asbestos claims
Education
Juris Doctorate from an accredited law school
Skills/experience
6+ years of experience as counsel
Strong commercial transactions background; pipeline industry experience preferred; FERC-regulated pipeline experience ideal
Construction contracting experience helpful
Environmental experience helpful
In-house experience helpful
